PARTNER AGREEMENT

This PARTNER AGREEMENT is made on this the 21 day of November, 2024 through ArthaVidhya Online Portal, BETWEEN ARTHAVIDHYA, a brand created to bridge the gap between collegiate education and corporate process requirements spearheaded by EPALMLEAF ITES PVT LTD (hereinafter known as “The Company”) having its registered office at N2—2nd floor, LIC Row houses, 24th Main, J P Nagar 1st Phase, Bangalore 560078 and represented by N V Srinivas, Co-Founder and COO,

AND

(hereinafter known as “PARTNER”)

RECITALS

• ARTHAVIDHYA provides high quality and distinctively designed courses to students from Finance & Accounting domain and has the technical expertise and know-how to guide students to overcome the gap between collegiate education and corporate process requirements;
• ARTHAVIDHYA is desirous of entering into an agreement with the PARTNER in order to advertise, promote and enroll students into its online job oriented skill development course (Hereinafter called “THE COURSE”)
• The PARTNER, desirous of obtaining the benefits of ARTHAVIDHYA and has requested THE COMPANY to grant them the certificate of “Authorized Partner”

TERM

The agreement shall commence on the date of entering the same and shall continue until such time as agreed upon by THE COMPANY

RESPONSIBILITIES

• The COURSE offered by ARTHAVIDHYA is an online course available for the students and the PARTNER shall source the students for taking the COURSE.
• The PARTNER shall engage students for THE COURSE and explain to them its benefits.
• The PARTNER shall help interested students in registering and enrolling into the course with the information given to them by ARTHAVIDHYA
• The course fee payment may be made online directly or by way of a cheque/DD in favour of THE COMPANY and send it across to ePalmleaf ITES Private Limited, N-2, 2nd Floor, LIC Row Houses, 24th Main,J P Nagar, 1st Phase, Bangalore - 560 078. THE COURSE logins for the same shall be activated only after realization of payment.

PRICING

• The pricing will be as per the proposal given by ARTHAVIDHYA to PARTNER
• The pricing may be revised regularly based on the decision taken by THE COMPANY from time to time.
• The PARTNER shall further be provided with an institutional code by ARTHAVIDHYA based on the course and the same code shall be entered by the student during subscription to THE COURSE

FURTHER RESPONSIBILITES

• The PARTNER shall ensure proper student enrollment for THE COURSE
• The PARTNER shall not share any details provided by ARTHAVIDHYA with the students or with third parties unless authorized by THE COMPANY.
• The PARTNER shall comply with/maintain valid permits and obtain necessary licenses required for their respective offices and locations at all times.
• The PARTNER shall further comply with all statutory and local legislation necessary for effective running of their offices and locations at their own expense; all enactments, regulations, bye laws, notices, directions, orders, requirements or demands of the Government, Semi-Government or any other authority affecting the office or location.

TERMINATION

The following agreement shall be terminated in the event of a breach by the PARTNER of any provisions of this Agreement and subsequent failure to remedy the breach within thirty days of having been notified by THE COMPANY

LAW AND JURISDICTION

In case of any dispute arising out of or in relation to the provisions of this Agreement the matter shall be referred to one arbitrator appointed by THE COMPANY and such arbitration shall be in accordance with the Arbitration & Conciliation Act 1996 and any subsequent amendments thereto. In the event of arbitration not being applicable, all disputes arising between the parties shall be subject to the jurisdiction of the courts at Bangalore city only
